2. Purpose

These Terms of Use regulate:

  • access to and use of this website, and

  • access to and use of the SaaS service NEO System provided by Factory Data. NEO System por parte de los clientes.

By accessing the website or contracting NEO System, the user or Client accepts these Terms.

3. Website Access and Availability

Factory Data does not guarantee uninterrupted availability of the website and may temporarily suspend access for maintenance or technical reasons.

The website may contain links to third-party content. Factory Data accepts no responsibility for the availability or accuracy of such external content.

4. NEO System SaaS Service – Description

NEO System is a SaaS platform designed to:

  • analyse product searches, demand and catalogue gaps,

  • evaluate stock availability and coverage,

  • generate metrics, dashboards, reports and recommendations,

  • provide operational insights through NEO Manager and authorized extensions.

NEO System is an analytical decision-support tool .It does not guarantee commercial or financial results.

5. License of Use

The Client receives a license to use NEO System under the following conditions:

  • non-exclusive

  • non-transferable

  • limited to internal business use

  • conditioned on payment of applicable fees

Reverse engineering, resale, sublicensing, copying, or unauthorized access to the software is strictly prohibited.

All software, algorithms, data structures, documentation, and proprietary databases are the exclusive property of Factory Data, S.L.

6. Fees and Billing

The applicable fees are those stated in the commercial proposal or quote accepted by the Client.

  • Billing may be monthly or annual, depending on the agreement.

  • VAT or applicable taxes not included.

  • Unpaid amounts exceeding 30 days may result in suspension of the service.

7. Term and Renewal

The minimum subscription term for NEO System is 12 months, unless otherwise specified in the accepted proposal.

After the initial term, the service will automatically renew for successive monthly periods, unless the Client submits a cancellation request at least 30 days before the next renewal date.

Fees already invoiced will not be refunded.

8. Service Level Agreement (SLA) and Support

Factory Data commits to:

  • service availability ≥ 99% annually,

  • technical support during business hours,

  • continuous software updates and maintenance.

Service interruptions caused by third-party hosting providers, the Client’s systems, or external network failures are not attributable to Factory Data.

9. Data Processing and Privacy (GDPR)

When processing Client data necessary to provide the service, Factory Data acts as Data Processor, and the Client acts as Data Controller. Factory Data will:

  • apply appropriate technical and organizational measures (Art. 32 GDPR),

  • process data solely for the purpose of providing NEO System,

  • delete or anonymize Client data within 90 days after termination, unless legal retention applies.

10. Confidentiality

All technical, operational, commercial or strategic information exchanged between the parties shall be treated as confidential.

Disclosure to third parties is prohibited unless legally required.

11. Limitation of Liability

Factory Data shall not be liable for:

  • indirect or consequential damages,

  • loss of profits or business opportunities,

  • decisions made based on analytical results from NEO System,

  • service interruptions beyond its reasonable control.

The maximum aggregate liability of Factory Data shall not exceed the amount paid by the Client in the preceding six months..

12. Termination

The service may be terminated for:

  • material breach by either party,

  • non-payment exceeding 45 days,

  • fraudulent or unauthorized use,

  • Client request with a 30-day written notice.

Upon termination, access to the platform will be disabled, and data will be handled according to section 9.

13. Intellectual Property (Website)

All website content (designs, text, images, logos, code, graphics, etc.) is owned by Factory Data or its respective authors.
Any reproduction or distribution without prior written authorization is strictly prohibited.

14. Applicable Law and Jurisdiction

These Terms are governed by Spanish law.

For any dispute related to the service or website, the parties submit to the Courts of Lleida (Spain).
