Purpose<\/strong><\/h3><p>These Terms of Use regulate:<\/p><ul><li><p>access to and use of this website, and<\/p><\/li><li><p>access to and use of the SaaS service NEO System provided by Factory Data. <strong>NEO System<\/strong> por parte de los clientes.<\/p><\/li><\/ul><p>By accessing the website or contracting NEO System, the user or Client accepts these Terms.<\/p><h3 class=\"western\"><strong>3. Website Access and Availability<\/strong><\/h3><p>Factory Data does not guarantee uninterrupted availability of the website and may temporarily suspend access for maintenance or technical reasons.<\/p><p>The website may contain links to third-party content. Factory Data accepts no responsibility for the availability or accuracy of such external content.<\/p><h3 class=\"western\"><strong>4. NEO System SaaS Service \u2013 Description<\/strong><\/h3><p>NEO System is a SaaS platform designed to:<\/p><ul><li><p>analyse product searches, demand and catalogue gaps,<\/p><\/li><li><p>evaluate stock availability and coverage,<\/p><\/li><li><p>generate metrics, dashboards, reports and recommendations,<\/p><\/li><li><p>provide operational insights through NEO Manager and authorized extensions.<\/p><\/li><\/ul><p>NEO System is an <strong>analytical decision-support tool<\/strong> .It does not guarantee commercial or financial results.<\/p><h3 class=\"western\"><strong>5. License of Use<\/strong><\/h3><p>The Client receives a license to use NEO System under the following conditions:<\/p><ul><li><p>non-exclusive<\/p><\/li><li><p>non-transferable<\/p><\/li><li><p>limited to internal business use<\/p><\/li><li><p>conditioned on payment of applicable fees<\/p><\/li><\/ul><p>Reverse engineering, resale, sublicensing, copying, or unauthorized access to the software is strictly prohibited.<\/p><p>All software, algorithms, data structures, documentation, and proprietary databases are the exclusive property of <strong>Factory Data, S.L.<\/strong><\/p><h3 class=\"western\"><strong>6. Fees and Billing<\/strong><\/h3><p>The applicable fees are those stated in the <strong>commercial proposal or quote accepted<\/strong> by the Client.<\/p><ul><li><p>Billing may be monthly or annual, depending on the agreement.<\/p><\/li><li><p>VAT or applicable taxes not included.<\/p><\/li><li><p>Unpaid amounts exceeding 30 days may result in suspension of the service.<\/p><\/li><\/ul><h3 class=\"western\"><strong>7. Term and Renewal<\/strong><\/h3><p>The minimum subscription term for NEO System is <strong>12 months<\/strong>, unless otherwise specified in the accepted proposal.<\/p><p>After the initial term, the service will <strong>automatically renew<\/strong> for successive <strong>monthly periods<\/strong>, unless the Client submits a cancellation request at least <strong>30 days before the next renewal date<\/strong>.<\/p><p>Fees already invoiced will not be refunded.<\/p><h3 class=\"western\"><strong>8. Service Level Agreement (SLA) and Support<\/strong><\/h3><p>Factory Data commits to:<\/p><ul><li><p>service availability \u2265 99% annually,<\/p><\/li><li><p>technical support during business hours,<\/p><\/li><li><p>continuous software updates and maintenance.<\/p><\/li><\/ul><p>Service interruptions caused by third-party hosting providers, the Client\u2019s systems, or external network failures are not attributable to Factory Data.<\/p><h3 class=\"western\"><strong>9. Data Processing and Privacy (GDPR)<\/strong><\/h3><p>When processing Client data necessary to provide the service, Factory Data acts as <strong>Data Processor,<\/strong> and the Client acts as Data Controller. Factory Data will:<\/p><ul><li><p>apply appropriate technical and organizational measures (Art. 32 GDPR),<\/p><\/li><li><p>process data solely for the purpose of providing NEO System,<\/p><\/li><li><p>delete or anonymize Client data within <strong>90 days<\/strong> after termination, unless legal retention applies.<\/p><\/li><\/ul><p>More information <strong>Privacy Notice<\/strong>:<br \/><a href=\"https:\/\/www.factorydata.com\/en\/notice-of-privacy\/\" target=\"_new\">https:\/\/www.factorydata.com\/notice-of-privacy\/<\/a><\/p><h3 class=\"western\"><strong>10. Confidentiality<\/strong><\/h3><p>All technical, operational, commercial or strategic information exchanged between the parties shall be treated as confidential.<\/p><p>Disclosure to third parties is prohibited unless legally required.<\/p><h3 class=\"western\"><strong>11. Limitation of Liability<\/strong><\/h3><p>Factory Data shall not be liable for:<\/p><ul><li><p>indirect or consequential damages,<\/p><\/li><li><p>loss of profits or business opportunities,<\/p><\/li><li><p>decisions made based on analytical results from NEO System,<\/p><\/li><li><p>service interruptions beyond its reasonable control.<\/p><\/li><\/ul><p>The maximum aggregate liability of Factory Data shall not exceed the amount paid by the Client in the <strong>preceding six months.<\/strong>.<\/p><h3 class=\"western\"><strong>12. Termination<\/strong><\/h3><p>The service may be terminated for:<\/p><ul><li><p>material breach by either party,<\/p><\/li><li><p>non-payment exceeding 45 days,<\/p><\/li><li><p>fraudulent or unauthorized use,<\/p><\/li><li><p>Client request with a 30-day written notice.<\/p><\/li><\/ul><p>Upon termination, access to the platform will be disabled, and data will be handled according to section 9.<\/p><h3 class=\"western\"><strong>13. Intellectual Property (Website)<\/strong><\/h3><p>All website content (designs, text, images, logos, code, graphics, etc.) is owned by Factory Data or its respective authors.<br \/>Any reproduction or distribution without prior written authorization is strictly prohibited.<\/p><h3 class=\"western\"><strong>14.
